| Ownership
CDS is owned by the major Canadian chartered banks and by the members of the Investment Industry Regulatory Organization of Canada (IIROC) and the TSX Inc. CDS has its head office in Toronto and operates regional offices in Vancouver, Calgary and Montreal.
Board of directors
The CDS board of directors consists of nine shareholder directors, one director from CDS management and five independent directors not affiliated with management or CDS’s shareholders. Individual directors have membership on the governance/human resources committee, the audit/risk committee and the finance committee.
Each of the three committees1 has a formally documented mandate with specific accountabilities.
